AREVA’s Transnuclear Inc. Announces Acquisition of Manufacturing Facility in North Carolina

Press Release

January 10, 2013

COLUMBIA, Md., January 10, 2013 – Transnuclear Inc., an AREVA company, is pleased to announce the acquisition of Greensboro, NC-based manufacturer Columbiana Hi Tech, LLC (CHT), a custom fabrication company dedicated to supplying qualified equipment for the nuclear industry.

Through this acquisition, Transnuclear Inc. (TN) is better positioned to serve utility customers in the U.S. with streamlined delivery, increased quality control and continued development of innovative solutions for safe used fuel management. The acquisition also illustrates AREVA’s strong investment in the U.S. commercial nuclear power industry furthering our manufacturing base and commitment to a robust U.S. industrial base that will protect and create jobs in North Carolina.

“This is an exciting forward-looking step for Transnuclear, strengthening our position in the U.S. market, as it increases our ability to aggressively streamline costs and improve quality, while maintaining control of our design innovations and intellectual property,” said Michael McMahon, President and CEO of Transnuclear Inc. “We are honored to be affiliated with CHT, a fabricator whose process and quality assurance programs have a very high degree of precision, and whose integrity and reputation for excellence is remarkable.”

CHT will be maintained as a separate LLC including the establishment of a firewall to ensure confidentiality of competing customer technologies and intellectual property. All CHT customers will be assured shop capacity without any preferential advantage given to Transnuclear orders.

CHT President and COO Don Olson will remain, as well as all of CHT’s current employees. The CHT organization will remain unchanged and will continue to operate as usual.

“We are excited to take this step forward with Transnuclear,” said Don Olson, President and COO of CHT. “Our global commitment to manufacturing excellence and our ability to be responsive to our customers’ technical and schedule requirements complements TN’s commitment to safety, innovation and demonstrated excellence throughout its organization.”

The Board of Directors of CHT voted to accept AREVA’s offer on October 16, and the transfer of ownership was closed on December 31, 2012.
